WHEREAS, the Company and the Subsidiary (referred to collectively herein as the “Employer”) previously entered into an employment agreement with Executive dated as of July 26, 2005 which became effective as of August 15, 2005 and which was amended and restated as of January 10, 2007 (the “Prior Agreement”) pursuant to which the Executive serves as Chief Executive Officer of each of the Company and the Subsidiary (“CEO”); and
