This ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of August 26, 2008, is entered into by and among CASTLEPOINT REINSURANCE COMPANY, LTD., a Bermuda corporation (“CPRE”), TOWER INSURANCE COMPANY OF NEW YORK, a New York corporation (“TICNY”), TOWER NATIONAL INSURANCE COMPANY, a Massachusetts corporation (“TNIC”), PRESERVER INSURANCE COMPANY, a New Jersey corporation (“PIC”), MOUNTAIN VALLEY INSURANCE COMPANY, a New Hampshire corporation (“MVIC”), and NORTHEAST INSURANCE COMPANY, a Maine corporation (“NIC” and, together with TICNY, TNIC, PIC, and MVIC, the “Purchasing Insurers”), and TOWER RISK MANAGEMENT CORP., a New York corporation (“TRM”).
