This ASSIGNMENT AGREEMENT (this “Agreement”), dated as of January 31st, 2009, is by and between Care Investment Trust Inc., a Maryland corporation (the “Seller”) and CIT Healthcare LLC, a Delaware Limited Liability Company (the “Buyer”). Capitalized terms used, but not otherwise defined herein, shall have the meanings ascribed to such terms in the Mortgage Purchase Agreement entered into by and between Seller and Buyer on September 30, 2008 (the “Mortgage Purchase Agreement”).
