This EMPLOYMENT AGREEMENT (“Agreement”), dated as of February 10, 2009, is entered into by and between Medco Health Solutions, Inc. (“Medco”), a Delaware corporation with offices at 100 Parsons Pond Drive, Franklin Lakes, New Jersey 07417 and David B. Snow, Jr. (“the Executive”). This Agreement shall be effective as of the date it has been signed by both Medco and the Executive and at that time the Employment Agreement between Medco and the Executive dated as of March 17, 2003 as amended by Letter Agreement dated January 24, 2007 shall terminate and have no further force or effect.
