THIS CONTINGENT CONTRIBUTION AGREEMENT, dated as of May 1, 2009 (this “Agreement”), is entered into by and among NRG ENERGY, INC., a Delaware corporation (“Parent”), NRG RETAIL, LLC, a Delaware limited liability company (“NRG Retail”), RERH HOLDINGS, LLC, a Delaware limited liability company (“RERH Holdings”), RELIANT ENERGY RETAIL HOLDINGS, LLC, a Delaware limited liability company (“RERH”) and Merrill Lynch Commodities, Inc., a Delaware corporation (“MLCI”).
