THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of May 26, 2009, to be effective June 1, 2009 (the “Effective Date”) by and between PRG-Schultz International, Inc., a Georgia corporation (the “Company”), and Robert B. Lee (the “Executive”). This Agreement supersedes, replaces and terminates any employment agreement previously entered into by and among the Company and/or any of its subsidiaries and the Executive.

THIS SEPARATION AGREEMENT (this “Agreement”) is made and entered into this 29th day of May, 2009, by and between BRADLEY T. ROOS, (“Executive”) and PRG-SCHULTZ INTERNATIONAL, INC., a Georgia corporation (“Company”). Executive and Company are sometimes hereinafter referred to together as the “Parties” and individually as a “Party.”
