In connection with our mutual consideration of a possible acquisition, business combination or other strategic collaboration (any such transaction a “Possible Transaction”) between you or an Affiliate (as defined herein) and Cougar Biotechnology, Inc. and/or its subsidiaries, Affiliates or divisions (collectively, with such subsidiaries, Affiliates and divisions, the “Company”), the Company is prepared to make available to you and your Representatives (as hereinafter defined) certain information concerning the business, financial condition, operations, assets and liabilities of the Company and you are prepared to make available to the Company certain information concerning you and your Affiliates and their businesses.
