This Second Amended and Restated Limited Liability Company Agreement (as amended, modified, supplemented and/or restated from time to time, this “Agreement”) of Discovery Communications Holding, LLC, a Delaware limited liability company (the “Company”), is entered into as of the 13th day of May, 2009, by and between Discovery Communications, Inc., a Delaware corporation (“DCI”), and DHC Discovery, Inc., a Colorado corporation (“DHC”).

THE TRANSFER OF THE UNITS (AS DEFINED BELOW) DESCRIBED IN THIS AGREEMENT IS RESTRICTED AS DESCRIBED HEREIN.
