THIS STRATEGIC CONSULTING SERVICES AGREEMENT (the “Agreement”) is entered into and effective as of June 19, 2009 (the “Effective Date”) by and between Echo Therapeutics, Inc., a Delaware corporation with a principal place of business at 10 Forge Parkway, Franklin, Massachusetts 02038 (“Echo”), and Shawn Singh, an individual residing at 1737 Elizabeth Street, San Carlos, California 94070 (“Consultant”).

This License Agreement (“Agreement”) is made this 15th day of June, 2009 (“Effective Date”), between Echo Therapeutics, Inc., a corporation existing under the laws of the State of Delaware, having its principal place of business at 10 Forge Parkway, Franklin, Massachusetts 02038 (“Licensor”), and HANDOK Pharmaceuticals Co., Ltd., a corporation existing under the laws of South Korea, having its principal place of business at 735 Yeoksam-dong, Gangnam-gu, Seoul 135-755, Korea (“Licensee”).
