THIS COLLATERAL PLEDGE AND SECURITY AGREEMENT, dated as of June 30, 2009 by and between THEATER SUB, INC., a limited liability company duly organized and validly existing under the laws of the State of Missouri (the “Pledgor”), and KEYBANK, NATIONAL ASSOCIATION, individually and as administrative agent (the “Agent”) for itself and the lenders under the Credit Agreement described below (the “Lenders”), having an address at 224 Franklin Street, 18th Floor, Boston, Massachusetts 02110.
