This STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of June 30, 2009, by and among Echo Therapeutics, Inc., a Delaware corporation (the “Company”), and each of the purchasers of the Series B Preferred Stock of the Company whose names are set forth on Exhibit A attached hereto (each a “Purchaser” and collectively, the “Purchasers”).
