THIS LEASE is made on the 14 day of MARCH, 2006, by and between Los Gatos Business Park, a California limited partnership (hereinafter called “Lessor”) and StrataLight Communications, Inc., a Delaware corporation (hereinafter called “Lessee”).

This Employment Agreement (this “Agreement”) is entered into as of February 18, 2009, by and between Opnext, Inc., a Delaware corporation (“Opnext” or the “Company”), and Shri Dodani (“Executive”), in connection with the consummation of the mergers (the “Mergers”) contemplated by that certain Agreement and Plan of Merger dated as of July 9, 2008, by and among the Company, StrataLight Communications, Inc., (“StrataLight”) Omega Merger Sub 1, Inc., a wholly owned subsidiary of the Company, Omega Merger Sub 2, Inc., a wholly owned subsidiary of the Company, and Jerome Contro, as the representative of the selling stockholders (the “Merger Agreement”).
