This First Amendment (this “Amendment”) is executed as of July _____, 2009, between 5615 Highpoint Irving, LLC, a Delaware limited liability company (“Landlord”), and HMS Business Services Inc., a New York corporation (“Tenant”), for the purpose of amending the Lease Agreement between Equastone High Point, LP, a Delaware limited partnership, Landlord‘s predecessor-in-interest, and Health Management Systems, Inc., a New York corporation, Tenant’s predecessor-in-interest, dated July 31, 2007 (the “Lease”). Capitalized terms used herein but not defined shall be given the meanings assigned to them in the Lease.
