This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is entered into as of December 8, 2008 by and between Burger King Corporation, a Florida corporation (together with any Successor thereto, the “Company”), and Charles M. Fallon (“Executive”).
