THIS ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of August 31, 2009, is by and among AVALON PHARMACEUTICALS, INC., a Delaware corporation (the “Seller”), PGXHEALTH, LLC, a Delaware limited liability company (“Seller Affiliate”), CLINICAL DATA, INC., a Delaware corporation (the “Seller Parent”), and INTREXON CORPORATION, a Virginia corporation (the “Buyer”). Seller, Seller Affiliate, Seller Parent and Buyer are referred to collectively herein as the “Parties” and each of them individually as a “Party.”
