Solarfun Power Holdings Co., Ltd., a corporation organized under the laws of the Cayman Islands (the “Company”), proposes to issue and sell through or to Morgan Stanley & Co. Incorporated, as sales agent and, at the sole discretion of the Company, as principal (the “Manager”), on the terms set forth in this equity distribution agreement (this “Agreement”), American Depositary Shares, each representing five ordinary shares, par value US$0.0001 per ordinary share (the “Ordinary Shares”), having an aggregate gross sales price of up to $30,000,000 (the “ADSs”) and to be issued pursuant to the Deposit Agreement, dated as of December 19, 2006 (the “Deposit Agreement”), among the Company, The Bank of New York, as depositary, and all owners and beneficial owners from time to time of the ADSs.
