THIS CONTRIBUTION AGREEMENT (the “Agreement”) is made as of this 14th day of October 2009, by and among Optel Capital LLC, a Delaware limited liability company and ZG Nevada Limited Partnership, a Nevada limited partnership (collectively, the “Contributing Stockholders”), and Optel Acquisition Corp., a newly formed Delaware corporation (the “Company”).
