SECOND AMENDMENT, dated as of October 21, 2009 (this “Second Amendment”), to the Rights Agreement, dated as of February 11, 2003, as amended September 9, 2005 (the “Rights Agreement”), between Questcor Pharmaceuticals, Inc., a California corporation (the “Company”), and Computershare Trust Company, N.A., successor rights agent to Computershare Trust Company, Inc. (the “Rights Agent”). Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in the Rights Agreement.
