This Plan Support and Lock-Up Agreement (together with the Exhibits and Schedules attached hereto, this “Agreement”), dated as of August 6, 2009, by and among (i) CanArgo Energy Corporation (the “Company”); (ii) Persistency (“Persistency”); (iii) Thomas L. Gipson (“TLG”), Robert L. Gipson (“RLG”) and Yvonne Koenig (“YK,” and together with TLG and RLG, collectively, the “I&S Parties” and together with Persistency, the “Noteholders” ); (iv) Weus Holdings, Inc. and its affiliates (collectively, “Weatherford”) and (v) each holder (or investment managers or advisors having authority to act on behalf of the beneficial owners) of a General Unsecured Claim (as defined in the Term Sheet attached as Exhibit A (the “Term Sheet”) that is a signatory hereto (each such holder of such claims collectively, the “General Unsecured Creditors”; and together with the Noteholders and Weatherford, collectively, the “Supporting Creditors”).
