This SECURITIES PURCHASE AGREEMENT (this “Agreement”), dated as of June 9, 2009, is made by and between FUELCELL ENERGY, INC., a Delaware corporation (the “Company”), and POSCO POWER, a Korean corporation, together with its permitted transferee (the “Purchaser”).
