This Non-Executive Chairman Agreement (the “Agreement”) is made and entered into as of the 1st day of July, 2009, by and between ORIENTAL FINANCIAL GROUP INC., a financial holding company which has its principal office in San Juan, Puerto Rico (the “Company”) and JOSÉ J. GIL DE LAMADRID (the “Chairman” or “Mr. Gil de Lamadrid”, and together with the Company, the “Parties” or, individually, a “Party”).
