This Consulting and Confidential Disclosure Agreement (“Agreement”) is effective as of October 1, 2009 (“Effective Date”) by and between OSI Pharmaceuticals, Inc., a Delaware corporation (together with its affiliates and subsidiaries, “OSI”), having executive offices at 41 Pinelawn Road, Melville, New York 11747, and H.M. This Manufacturing and Supply Agreement (this “Agreement”) is made as of the date of the last Party to sign below (the “Effective Date”) by and among OSI Pharmaceuticals, Inc., a Delaware corporation, with offices at Suite 110, 58 South Service Road, Melville, New York 11747 (“OSI”), and Davos Chemical Corporation and its affiliates listed on Appendix A, a New Jersey corporation, with offices at 600 East Crescent Avenue, Upper Saddle River NJ 07458 (the “Distribution Agent”) and Dipharma SPA with offices at Via Bissone, 5, 20021 Baranzate, MI, Italy and its affiliates, subsidiaries and controlled companies (the “Manufacturer”). OSI, Distribution Agent and Manufacturer are referred to herein individually as a “Party” and, together, as the “Parties”.
