THIS AGREEMENT, made as of October 1, 2009 between HMS HOLDINGS CORP., a New York corporation (the “Corporation”), and First Name Last Name (the “Participant”), is pursuant to the 2006 Stock Plan of the Corporation (the “Plan”). The Plan, as amended by the Board of Directors (the “Board”), was last approved by the shareholders (the “Shareholders”) of the Corporation on June 12, 2009. Said Plan, as it may hereafter be amended and continued by the Board and the Shareholders, is incorporated herein by reference and made a part of this Agreement.
