This Consulting Agreement (“Agreement”) is made and entered into as of November 4, 2009 (“Effective Date”) by and between Oplink Communications, Inc., a Delaware corporation, its subsidiaries, affiliates, successors or assigns (collectively, “Oplink” or the “Company”), and Leonard J. LeBlanc (“Consultant”). The Company desires to retain Consultant as an independent contractor to perform consulting services for the Company and Consultant is willing to perform such services on terms set forth more fully below.
