This SHARE PURCHASE AGREEMENT (the “Agreement”) is entered into as of this 14 day of July, 2009 by and between Constellation Bulk Energy Holdings, Inc., a corporation organized under the laws of the Marshall Islands (the “Seller”), and Seanergy Maritime Holdings Corp., a corporation organized under the laws of the Republic of the Marshall Islands (the “Buyer”). Seller and Buyer are sometimes referred to herein individually as a “Party” and collectively as the “Parties”.
