This SENIOR SECURED SUPER PRIORITY PRIMING DEBTOR IN POSSESSION CREDIT AND GUARANTY AGREEMENT, dated as of November 18, 2009, is entered into by and among VISTEON CORPORATION, a Delaware corporation, as a debtor and a debtor in possession (“BORROWER”), and certain Subsidiaries of Borrower, who are also debtors and debtors in possession, as Guarantors, the Lenders (as defined below) party hereto from time to time, WILMINGTON TRUST FSB (“Wilmington”), as Administrative Agent for such Lenders (together with its permitted successor in such capacity, “Administrative Agent”).
