This Agreement is entered into as of November 22. 2004 (the “Effective Date”) between eSignal. a division of Interactive Data Corporation (“eSignal”), having an office at 3955 Point Eden Way, Hayward, CA 94545-3720, and GAIN Capital Inc. (“GAIN”), having a principal place of business at 35 Technology Drive, Warren NJ. 07059. eSignal and GAIN are each referred to individually as a “Party” and collectively as the “Parties.”
