THIS AMENDMENT is made as of November 30, 2009 to the Transfer Agency Agreement dated February 1, 1988, as amended (the “Agreement”), by and between Transamerica Funds (the “Trust”) and Transamerica Fund Services, Inc. (the “Transfer Agent”).

† Effective May 1, 2009, the Investment Manager agreed to further reduce the Fund Operating Expenses of Transamerica Short-Term Bond by waiving 0.10% of its investment management fees payable to it by Transamerica Short-Term Bond for one year through May 1, 2010. In addition, the Investment Manager agrees that 0.10% of the 0.35% 12b-1 fee applicable to Class A shares of Transamerica Short-Term Bond will be waived for one year through May 1, 2010.

This Transamerica Funds Dealer Sales Agreement (“Agreement”) is hereby entered into on , 20 , by Transamerica Capital, Inc. (herein referred to as “TCI” or “we” or “our” or “us”). TCI is the Principal Underwriter for Transamerica Funds (herein referred to as the “Fund” or “Funds”, including any class(es) of shares of any and all series constituting the Fund), as defined in the Investment Company Act of 1940 (the “1940 Act”). As such, we are authorized to purchase shares of beneficial interest of the Fund to sell to investors either directly or indirectly through broker-dealers.
