THIS MASTER LEASE GUARANTY (this “Guaranty”) is executed and delivered by POWERSECURE INTERNATIONAL, INC. (“Guarantor”) in favor of BB&T EQUIPMENT FINANCE CORPORATION, its successors and assigns (“Lessor”), in connection with that certain Master Lease Agreement dated as of November 25, 2009, together with all Equipment Schedules executed or to be executed pursuant thereto (the “Lease”), by and between Lessor and PowerSecure, Inc., its successors and permitted assigns (“Lessee”).
