This Amendment (this “Amendment”), dated and effective as of December 10, 2009 (the “Effective Time”), is made and entered into by and between MGIC Investment Corporation, a Wisconsin corporation (the “Company”), and Wells Fargo Bank, N.A., a national banking association, as rights agent (the “Rights Agent”), under that certain Amended and Restated Rights Agreement, dated as of July 7, 2009 as amended through and including November 30, 2009 (the “Rights Agreement”).
