THIS INTERIM CHIEF EXECUTIVE OFFICER AGREEMENT (the “Agreement”), dated and effective as of August 31, 2009, is by and among SIFCO Industries, Inc. (“SIFCO”), an Ohio corporation with its principal offices 970 East 64th Street, Cleveland, Ohio, Aviation Component Solutions, an Ohio corporation with its principal offices at 26451 Curtiss Wright Parkway, Suite 106, Richmond Heights, Ohio 44143 (“ACS”) and Michael S. Lipscomb (“Lipscomb”) and shall have an effective date of August 10, 2009 (the “Effective Date”).
