THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is entered into as of October 27, 2009, by and among Grubb & Ellis Company, a Delaware corporation (the “Company”), and the persons listed on the Schedule of Initial Holders attached hereto as Schedule A (each, an “Initial Holder” and, collectively, the “Initial Holders”).
