This EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of February 1, 2010 (the “Effective Date”), by and between Fibrocell Science, Inc., a Delaware corporation (the “Company”) having its principal place of business at 405 Eagleview Boulevard, Exton, PA 19341, and David Pernock (“Executive”, and the Company and the Executive collectively referred to herein as the “Parties”) having an address at 748 Canterbury Lane, Villanova, PA 19085.
