Chatham Lodging, L.P. (the “Partnership”) was formed as a limited partnership under the laws of the State of Delaware, pursuant to a Certificate of Limited Partnership filed with the Secretary of State of the State of Delaware effective as of November 18, 2009 and this Agreement of Limited Partnership, entered into this [___] day of , 2010, by and between Chatham Lodging Trust, a Maryland real estate investment trust (together with its successors and assigns, the “General Partner”), and the Limited Partners set forth on Exhibit A hereto.
