STOCK PURCHASE AGREEMENT (this “Agreement”) made as of this 8th day of February, 2010 among BBV VIETNAM S.E.A. ACQUISITION CORPORATION, a Marshall Islands corporation (“Buyer” or “BBV”), VICTORY PARK CREDIT OPPORTUNITIES MASTER FUND, LTD. (the “Seller”) and solely for the purposes of Sections 7(a) and (b) and Section 8(a) hereof, JOHN PARK (“Park” or “Insider”), and MIGAMI, INC., a Nevada corporation (“Migami”).

In accordance with Rule 13d-1(k) under the Securities Exchange Act of 1934, as amended, the persons named below agree to the joint filing on behalf of each of them of a statement on Schedule 13D (including amendments thereto) with respect to the common stock of BBV Vietnam S.E.A. Acquisition Corp. and further agree that this Joint Filing Agreement be included as an Exhibit to such joint filings.
