THIS SUPPLEMENTAL CLOSING AGREEMENT (this “Agreement”) is entered into as of February 12, 2010 (the “Closing Date”) by and among Geokinetics Inc., a Delaware corporation (“Geokinetics”), the direct and indirect subsidiaries of Geokinetics identified in the Purchase Agreement (as defined below), Petroleum Geo-Services ASA, a Norwegian corporation (“PGS”), and the direct and indirect subsidiaries of PGS identified in the Purchase Agreement. For purposes of this Agreement, certain capitalized terms used but not defined in this Agreement shall have the meanings assigned to such terms in the Purchase Agreement.
