This SECOND AMENDED AND RESTATED PLEDGE AND SECURITY AGREEMENT (this “Pledge Agreement”) dated as of November 5, 2009, is made by WINTRUST FINANCIAL CORPORATION, an Illinois corporation (the “Pledgor”), whose address is 727 North Bank Lane, Lake Forest, Illinois 60045, for the benefit of BANK OF AMERICA, N.A. (“Bank of America”), as Administrative Agent (as defined below) for the benefit of the Secured Parties (as defined below), whose address is 135 South LaSalle Street, Chicago, Illinois 60603. Capitalized terms used but not defined herein have the respective meanings given to them in the Credit Agreement (as defined below).
