THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of December 22, 2009 (the “Closing Date”), between SILICON VALLEY BANK, a California corporation (“Bank”), and CONEXANT CF, LLC, a Delaware limited liability corporation (“Borrower” or “Purchaser”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank.
