THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made between SILVERLEAF RESORTS, INC., a Texas corporation (“Silverleaf”), and HARRY J. WHITE, JR. (the “Employee”).

This Extension of Amended and Restated Employment Agreement is entered into effective as of this 1st day of January, 2010 by and between Thomas J. Morris (“Employee”) and Silverleaf Resorts, Inc., a Texas corporation (“Silverleaf”). All terms used herein and not otherwise defined shall have the meanings set forth in the Amended and Restated Employment Agreement (the “Agreement”) between Employee and Silverleaf which was effective as of March 4, 2008 (the “Effective Date”).

All terms used herein and not otherwise defined shall have the meanings set forth in the Amended and Restated Employment Agreement (the “Agreement”) between Employee and Silverleaf which was effective as of March 4, 2008 (the “Effective Date”).
