This License Agreement (this “Agreement”) is made as of the 25th day of December, 2003 (hereinafter referred to as “Effective Date”) by and between FUJISAWA PHARMACEUTICAL CO., LTD., a corporation organized and existing pursuant to the laws of Japan and having its registered office at 4-7, Doshomachi 3-chome, Chuo-ku, Osaka 541- 8514, Japan (hereinafter referred to as “FUJISAWA”) and OSI PHARMACEUTICALS, INC., a corporation organized and existing pursuant to the laws of the State of Delaware, U.S.A. and having executive offices at 58 South Service Road, Melville, New York 11747, U.S.A. (hereinafter referred to as “OSIP”).
