This REGISTRATION RIGHTS AGREEMENT is entered into as of this 16th day of March, 2010 by and among Care Investment Trust Inc., a Maryland real estate investment trust (the “Company”) and Tiptree Financial Partners, LP, a Delaware limited partnership (the “Purchaser”). Notwithstanding anything to the contrary contained herein, no provisions of this Agreement shall become effective until the transactions contemplated by the Purchase Agreement (as defined below) have been consummated.
