This Amendment (this “Amendment”) to the Sale and Purchase Agreement dated as of August 4th, 2008 (the “Agreement”), is effective as of December 14, 2009 (“Amendment Effective Date”), by and between Curacyte AG having its offices at Grillparzerstr. 14, 81675 Munich Germany (the “Seller”), The Medicines Company (Leipzig) GmbH (formerly “Lilie 39. V V GmbH”), having its offices at Friedrich-List-Platz 1, 04103, Leipzig Germany (the “Buyer”), and The Medicines Company having its offices at 8 Sylvan Way, Parsippany, NJ 07054, USA (“TMC”). Any capitalized term used and not otherwise defined herein shall have the meaning set forth in the Agreement.

THIS LICENSE AGREEMENT (“Agreement”) is made effective as of the 18th day of December, 2009 (the “Effective Date”), by and between The Medicines Company, a corporation organized and existing under the laws of Delaware with offices at 8 Sylvan Way, Parsippany, NJ 07054 (“LICENSEE”), and Pfizer Inc., a corporation organized and existing under the laws of Delaware with offices at 235 East 42nd Street, New York, NY 10017 (“PFIZER”). LICENSEE and PFIZER may, from time-to-time, be individually referred to as a “Party” and collectively referred to as the “Parties”.

THIS CONSENT AND RELEASE AGREEMENT (this “Agreement”) is made and entered into effective as of December 18, 2009 (the “Effective Date”), by and among The Medicines Company, a Delaware corporation with offices at 8 Sylvan Way, Parsippany, NJ 07054 (“MDCO”), Washington Cardiovascular Associates, LLC, a Maryland limited liability company with offices at 11410 River Road, Potomac, MD 20854 (“WCA”), HDLT LLC, a Delaware limited liability company with offices at 95 South Terrace, Short Hills, NJ 07078 (“HDLT”), H. Bryan Brewer, Jr., an individual residing at 11410 River Road, Potomac, MD 20854 (“Brewer”), Silvia Santamarina-Fojo, an individual residing at 11410 River Road, Potomac, MD 20854 (“Santamarina-Fojo” and, together with WCA and Brewer, the “Brewer Parties”) and Michael Matin, an individual residing at 95 South Terrace, Short Hills, NJ 07078 (“Matin” and, together with Brewer, the “Principals”).
