This Purchase and Sale Agreement (this “Agreement”) is made as of February 12, 2010, and is by and among ALTISOURCE PORTFOLIO SOLUTIONS S.A., an entity organized under the laws of Luxembourg (the “Purchaser”); and SCOTT M. STERN REVOCABLE TRUST, a trust established under the laws of the State of Missouri, TIMOTHY C. STERN, REVOCABLE TRUST, a trust established under the laws of the State of Missouri, BARRY O.
