This Services Agreement (this “Agreement”), dated as of December 1, 2009 (the “Effective Date”), is by and among Triad Guaranty Inc., a Delaware corporation (“TGI”), Triad Guaranty Insurance Corporation, an Illinois domiciled insurance company (“TGIC” and together with TGI referred to as “Triad”), and Essent Guaranty, Inc., a Pennsylvania stock insurance company (“Company”).
