This Agreement evidences the award to you on (the “Award Date”) of shares (the “Shares”) of common stock, $.01 par value (“Common Stock”), of iCAD, Inc., a Delaware corporation (the “Company”), pursuant to the Company’s 2007 Stock Incentive Plan (the “Plan”), subject to certain restrictions specified below in Restrictions and Forfeiture. (While subject to the Restrictions, this Agreement refers to the Shares as “Restricted Shares”.)
