THIS FIRST AMENDED AND RESTATED CREDIT AGREEMENT (the “Agreement”) dated as of March 15, 2010 is among TUFCO, L.P., a limited partnership duly organized and validly existing under the laws of the State of Delaware (the “Borrower”), TUFCO TECHNOLOGIES, INC., a corporation duly organized under the laws of the State of Delaware (“Parent”) and JPMORGAN CHASE BANK, N.A., or any successor or assignee thereof, (the “Bank”).
