This Cash or Deferred Profit Sharing Plan in conjunction with the Adoption Agreement shall be interpreted in a manner consistent with the intention of the adopting Employer that this Plan satisfies Internal Revenue Code Sections 401 and 501. As discussed, we recently determined that it is no longer beneficial for Sterling to continue the Credit Agreement due to low working capital requirements of its current businesses and its significant cash position. Accordingly, please accept this letter as notice of Sterling’s election to terminate the Agreement pursuant to Section 2.2.3 of the Agreement effective as of January 24, 2010.
