THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of the Effective Date herein by and among (i) LAKE CITY COMPANIES, LLC, a Utah limited liability company, (ii) LAKE CITY IDEALEASE, LLC, a Utah limited liability company, (iii) LAKE CITY TRUCKS, LLC, a Utah limited liability company, (iv) LAKE CITY INTERNATIONAL TRUCKS ST. GEORGE, INC., a Utah corporation ((i) – (iv) are referred to herein, individually and collectively, as “Seller”); (v) EDWARD S. PACE (“Member”); (vi) RUSH TRUCK CENTERS OF UTAH, INC., a Delaware corporation; (vii) RUSH TRUCK CENTERS OF IDAHO, INC., a Delaware corporation; and (viii) RUSH TRUCK CENTERS OF OREGON, INC., a Delaware corporation ((vi), (vii) and (viii) are referred to herein, individually and collectively, as the “Purchasers”).
