This Voting Agreement (the “Agreement”) is made and entered into as of March 25, 2010, by and among Project Porsche Holdings Corporation, a Delaware corporation (“Parent”), and the undersigned stockholder (“Holder”) of Plato Learning, Inc., a Delaware corporation (the “Company”).
