This REGISTRATION RIGHTS AGREEMENT, dated as of March 31, 2010 (this “Agreement”), is entered into by and between DTE ENERGY COMPANY, a Michigan corporation (the “Company”), and EVERCORE TRUST COMPANY, N.A., solely in its capacity as duly appointed and acting investment manager (the “Manager”) of a segregated account held in the DTE Energy Company Affiliates Employee Benefit Plans Master Trust (the “Trust”) created under the DTE Energy Company Retirement Plan (the “Plan”).
